Hedman is Apollo Group’s Bondholders’ Trustee

As trustee, Hedman acts on behalf of and in the interests of the bondholders and monitors that the issuer, Apollo Group, complies with the obligations set out in the terms and conditions of the bonds. The trustee essentially acts as an intermediary between the issuer and the bondholders, ensuring transparent communication and, where necessary, coordinating the protection of investors’ collective interests.

Hedman’s main responsibilities as trustee include monitoring compliance with the bond terms, overseeing the issuer’s financial obligations and covenants (such as financial ratios or other restrictions), and informing bondholders about material events.

If the issuer breaches the bond terms – for example, fails to make an interest payment or does not comply with other contractual obligations – the trustee has the right and the duty to act on behalf of the bondholders. This may include requesting additional information from the issuer, convening a meeting of bondholders, or implementing decisions adopted at such meetings.

The presence of a trustee helps avoid a situation where a large number of investors would have to communicate with the issuer individually. Instead, the trustee consolidates the interests of investors and represents them as a single party.

In summary, in a bond issuance the trustee serves as an important collective representative of investors and a supervisory mechanism that helps increase investor confidence in the issuance, ensure compliance with the bond terms, and make the resolution of potential issues more structured and efficient.
