Hedman advised Qminder in €3M fundraising and the corporate group restructuring

Hedman assisted the client in fundraising, starting from the preparation of the due diligence documents and finishing with the formalization of both primary transaction and secondary sales of shares from existing shareholders. The process included group restructuring to achieve a straight-forward group structure with the Estonian entity becoming the true topco of the group.

The restructuring involved close collaboration with colleagues in the UK, especially on the topic of option rollover.

Qminder, started in 2011, is a customer service flow management platform. The platform automates key customer service touchpoints, guiding visitors seamlessly from welcome to service. Customers include Hertz, AMEX, American Express, and Delta. The company aims to triple its US customer base, especially in local government and healthcare. 

The lead investor in the transaction was Practica Capital, who was supported by other well-known Estonian investors.

The client was advised by senior associate Kati Pino and the team also included senior associate Andres Kivi, associate Anastasia Miller and junior associate Alex Luik.
