Brigitta Jõgi
Brigitta Jõgi advises companies primarily on corporate and contract law. She helps clients think through the legal side of each stage of a company’s development, from raising investment and structuring relationships between shareholders to restructuring, share transfers and transactions involving an owner’s exit.
Brigitta works from the company’s wider goals and growth plans, helping clients determine which decisions, agreements and contracts the business actually needs in order to operate and develop. As part of this, she considers how today’s arrangements will affect the company’s governance, shareholder relationships, future fundraising rounds and possible transactions.
Working from that broader picture, Brigitta drafts and negotiates shareholders’ agreements, investment agreements and other commercial contracts, and advises on corporate resolutions and documentation. Her work also covers drafting and reviewing agreements with clients, partners, service providers and other counterparties, along with assessing the obligations, liability and risks arising from transactions.
